SALONBOOK PLATFORM — TERMS OF SERVICE

1. PARTIES & ACCEPTANCE

This Agreement is between Both Enterprise LLC, operating as SalonBook
("SalonBook," "we," "us"), a Florida limited liability company located at
718 Silver Pine Dr., Saint Augustine, Florida 32092, United States — and
the business or individual registering for a SalonBook account
("Subscriber," "you").

By clicking "I Agree," signing up for a free trial, or accessing the
platform, you accept these Terms in full. If you are an end-client
booking an appointment, Section 11 applies to you specifically.

2. DESCRIPTION OF THE SERVICE

SalonBook is a multi-tenant cloud-based SaaS platform enabling salons,
spas, and beauty businesses to manage appointments, staff, clients,
payments, and online presence. Included features:

- Salon Dashboard (calendar, CRM, reporting, staff management)
- Public Booking Page & Client Self-Service Portal
- Automated Email & SMS Notifications
- Payment Processing Integration (via Stripe, using your own keys)
- Website Theme Studio (templates, colors, fonts, content)
- Add-on Modules: loyalty rewards, memberships, gift certificates,
intake forms, product shop, referral tracking, and more

Features vary by subscription plan (Free, Pro, or Enterprise).

3. ACCOUNT REGISTRATION & SECURITY

You must register with accurate, complete, and current information. You
are responsible for all activity under your account. Notify us
immediately of unauthorized access at support@ocmpro.com. SalonBook
uses Clerk for secure authentication (Google, Facebook, Apple, or
email/password).

4. SUBSCRIPTION PLANS, BILLING & PAYMENTS

PLAN TIERS:
Free — 1 staff, 10 services, 200 emails/month
Pro — 3 staff, unlimited services, unlimited emails
Enterprise — Unlimited staff, services, and emails

Paid plans are billed in advance (monthly or annually) and are
non-refundable. Upgrades take effect immediately (prorated). Downgrades
take effect at the end of the current billing period. You may cancel
anytime via Settings → Subscription.

FAILED PAYMENTS: A grace period (default 14 days) applies before
automatic downgrade to the Free plan. Excess data is archived — not
deleted — and restored upon plan upgrade.

SALON PAYMENT PROCESSING: If you connect your own Stripe account to
charge your clients (for appointments, deposits, memberships, products,
gratuity, etc.), you are the merchant of record. You are solely
responsible for those transactions, Stripe's terms of service, and
compliance with PCI-DSS and applicable consumer protection laws.
SalonBook acts as a technical facilitator only and is not a party to
transactions between you and your clients. Your Stripe credentials are
stored encrypted (AES-256) on our servers.

5. ACCEPTABLE USE

You must not use SalonBook to:
- Conduct or facilitate any unlawful or fraudulent activity
- Send unsolicited commercial messages (spam)
- Upload or transmit malware or harmful code
- Attempt to reverse-engineer or bypass platform security controls
- Resell or sublicense access without prior written consent
- Collect or harvest data about other Subscribers or their clients
- Violate any applicable laws, regulations, or third-party rights

6. DATA OWNERSHIP & PRIVACY

You retain full ownership of all data you input into SalonBook, including
client records, appointment history, forms, and business information.
Both Enterprise LLC holds a limited license to process your data solely
to deliver and improve the service.

You are responsible for obtaining all necessary consents from your clients
before collecting their personal data through SalonBook (booking flows,
intake forms, client profiles, etc.).

Upon account termination, your data is retained for 30 days to allow
export, then may be permanently deleted. It is your responsibility to
export your data before termination takes effect.

7. NOTIFICATIONS & COMMUNICATIONS

You are the sender of record for all client-facing emails and SMS
messages sent through the SalonBook platform. You must:

- Have a lawful basis for sending SMS (e.g., TCPA, CASL compliance)
- Comply with CAN-SPAM and equivalent email laws
- Never re-add clients who have unsubscribed or opted out

Free plan accounts are limited to 200 outbound emails per month. Emails
over the limit are skipped and logged without breaking the booking flow.
Clients may unsubscribe from emails at any time via the unsubscribe link
included in every message.

8. INTAKE FORMS & CONSENT

The platform includes a form builder for client intake and consent forms,
including digital signature capture. You are solely responsible for:

(a) The legal validity of consent collected via these forms in your
jurisdiction
(b) Compliance with any applicable health-data regulations
(c) Retaining and protecting signed forms appropriately

SalonBook stores form responses on your behalf but does not review or
validate their legal sufficiency.

9. INTELLECTUAL PROPERTY

SalonBook and all its components — including software, source code,
design system, website templates, and documentation — are the exclusive
property of Both Enterprise LLC and its licensors.

You receive a limited, non-exclusive, non-transferable license to use the
platform during your active subscription, solely for your internal
business operations. Feedback you submit may be used by Both Enterprise
LLC without obligation or compensation.

10. DISCLAIMERS & LIMITATION OF LIABILITY

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." BOTH ENTERPRISE LLC
DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BOTH ENTERPRISE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY TO YOU
SHALL NOT EXCEED THE GREATER OF (A) FEES PAID IN THE PRIOR 12 MONTHS
OR (B) USD $100.

11. END-CLIENT BOOKING TERMS

If you are an individual booking an appointment through a SalonBook-
powered page, the following applies to you:

YOUR SERVICES ARE WITH THE SALON, NOT WITH BOTH ENTERPRISE LLC.
SalonBook is a technology platform only.

CANCELLATION FEES: Each salon sets its own cancellation and no-show
fee policy. You agree to the salon's policy at the time of booking.
Fees may be charged to your payment method on file.

PAYMENTS: Processed via Stripe on the salon's behalf. Both Enterprise
LLC does not hold or control your payment information.

UNSUBSCRIBE: Click the unsubscribe link in any email. For SMS, reply
STOP to any message to opt out.

DISPUTES: Contact the salon directly for service or charge disputes.
For platform-level issues, contact us at support@ocmpro.com.

12. TERM & TERMINATION

You may cancel anytime via Settings → Subscription. Both Enterprise LLC
may suspend or terminate accounts for:

- Material breach not cured within 7 days of written notice
- Fraudulent, abusive, or illegal activity (immediate termination)
- Legal requirement

Platform-wide discontinuation requires 30 days' prior notice. Sections
6, 9, 10, 13, and 14 survive termination.

13. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement is governed by the laws of the State of Florida, United
States, without regard to conflict of law principles.

Disputes shall first be submitted to good-faith negotiation for 30 days.
Unresolved disputes are subject to binding arbitration under the rules of
the American Arbitration Association (AAA) in St. Johns County, Florida.

CLASS ACTION WAIVER: You agree that any proceeding shall be conducted
only in your individual capacity, not as a class or representative action.
